ANNUAL MEETING OF THE MEMBERSHIP

88th Annual Meeting of the Membership

May 17, 2022 at 5:30 p.m.

Due to the ongoing COVID-19 pandemic, the Board of Directors has decided to hold the 2022 Annual Meeting of the Membership in a virtual format.

The 2022 Annual Meeting of the Membership will include highlights of the past year and insights for the year ahead. The Nominating Committee has nominated four Members to fill four vacancies on the Board of Directors and a fifth Member to complete the unexpired term of a Director. No nominations by petition were received for the 2022 election.

Nominations from the floor at the Meeting on May 17, 2022 will not be entertained unless unforeseen events prior to the election result in an insufficient number of candidates for the vacancies. Election results will be announced at the Meeting. No other formal business will be presented at the Meeting.

Elections

The Nominating Committee nominated Greg Marchant, John Didion, Nina Boyd and Douglas Sato to fill three-year terms following the end of their current terms, which expire in 2022; and Richard G. De Nava to fill the unexpired term of Theresa Matista, which expires in 2023. 

Nominations by Petition

Nominations may also be made by petition. Any Member who is at least 18 years of age and in good standing with the Credit Union is permitted to be a nominee. The petition must contain the name, signature, address and last 2-digits of the Member number of at least 500 eligible and valid Members. Additionally, nominations must be accompanied by a brief statement of qualifications, biographical data, and a signed statement from the nominee that they are agreeable and will serve if elected. Each petition must be limited to one nominee and signatures from Members should be affixed to a petition on or after October 1st in the year preceding the Annual Meeting. The petition must be received by the Nominating Committee at SchoolsFirst Federal Credit Union, P.O. Box 11547, Santa Ana, CA 92711-1547, or delivered to the Office of the President no later than 5 p.m. on February 7, 2022. Petition forms for the 2022 Meeting are available upon request from the Office of the President.

2022 Board of Directors Nominees 

Greg Marchant, Board Member, CCUB

Mr. Marchant has been serving on the SchoolsFirst Federal Credit Union Board of Directors since June of 2005. He started his Credit Union service in 1998 by serving on the President’s Forum, the Member Relations Committee and then joined the Orange County Teachers Service Organization, Inc. (OCTSO) Board. He holds a Certified Credit Union Board Member (CCUB) designation from Credit Union National Association (CUNA), a trade association for state and federally chartered credit unions. Mr. Marchant served the educational community for over 30 years where he taught history and economics. He holds a degree in History, and a Master of Science in Educational Technology.

John Didion, Board Member, CCUB

Mr. Didion has been a volunteer at SchoolsFirst Federal Credit Union since 1998. He served on the President’s Forum, the Member Relations Committee, Orange County Teachers Service Organization, Inc. (OCTSO) Board and joined the Board of Directors in 2001. Mr. Didion holds a Certified Credit Union Board Member (CCUB) designation from Credit Union National Association (CUNA), a trade association for state and federally chartered credit unions. He also holds a Cybersecurity Directorship Certification from National Association of Corporate Directors (NACD). Mr. Didion retired in 2016 following 35 years of service in the California Community College system. He holds a Bachelor’s Degree, a Master’s Degree in Public Administration and an Associate in Risk Management designation from the Insurance Institute of America.

Nina Boyd, Board Member 

Mrs. Boyd began her volunteer service with SchoolsFirst Federal Credit Union in 2014 on the Education Foundation Board. She has also served on the Orange County/Los Angeles County Advisory Council, Finance Committee, SchoolsFirst Insurance Services, LLC Board of Managers and as an Associate Director. Mrs. Boyd joined the Board of Directors in 2021. Mrs. Boyd currently serves the educational community as Deputy Superintendent Operations, Governance & Community Partnerships. She holds a Bachelor of Science in Human Services and a Master of Business Administration in Human Relations Management.

Douglas Sato, Board Member, CCUB

Mr. Sato joined the SchoolsFirst FCU Board of Directors in October 2020, after serving as an Associate Director following the merger with Schools Financial Credit Union in January 2020. At Schools Financial Credit Union, he served on the Board of Directors since 2015, and Treasurer since 2017. He also served on the Executive Committee, the Asset/Liability, Cybersecurity and Savings, Loans, Products & Services Committees. In 2017, he served on the Nominating Committee as well as various other committees. He holds a Certified Credit Union Board Member (CCUB) designation from Credit Union National Association (CUNA), a trade association for state and federally chartered credit unions. Mr. Sato earned his bachelor’s degree in Business Administration with a concentration in Accounting. Mr. Sato brings a strong financial background, having spent his career working as a Certified Public Accountant and auditor for a number of businesses including educational and financial institutions. Mr. Sato served at the educational community college level and is the owner of a CPA firm.

Richard G. De Nava, Board Member

Mr. De Nava has been serving as a volunteer at SchoolsFirst Federal Credit Union since 2014. He served on the Inland Empire Advisory Council, Finance Committee and as an Associate Director. In 2021, Mr. De Nava joined the Board of Directors. Mr. De Nava has been serving the educational community since 2003. He attained his Bachelor of Science degree in Systems Engineering and Master of Business Administration.
